Make Changes to a Business on File with the Secretary of State

Overview
As businesses change, those changes may need to be reflected with the Kansas Secretary of State’s Office as part of the business’ formation document. The document needed to reflect that change depends on how the information within the formation document has changed. The business may wish to discuss the changes with their legal counsel before submitting any documents. Additionally, to know if any information needs to be updated, business documents may be viewed by performing a search for the business on the Kansas Secretary of State’s Business Search webpage.

The following are some, but not all, of the more common documents that businesses may file with the Secretary of State to reflect specific changes:

Certificate of Amendment: This is the most common document filed. Just one Certificate of Amendment may indicate multiple changes within the document itself. It may indicate a change to the name of the business, the resident agent, or registered office, among other details contained within the formation document. Once filed, the Certificate of Amendment indicates that the information within the amendment is true for the business from the date of filing the amendment forward.

Certificate of Correction: Like the Certificate of Amendment, the Certificate of Correction allows the business to declare that some of the information contained in a previously filed document was inaccurately filed. Multiple details can be named in the correction. The Certificate of Correction indicates that the information within the certificate is true from the date the original document was filed forward.

Corrected Document: This document may be filed to indicate that some, and sometimes all, of the information contained within a previous document is inaccurate and that the attached document contains the corrected information. Like the Certificate of Correction, the Corrected Document is an indication that the information within this document is true from the date the original document was filed forward.
